Peter S. Twombly is a business lawyer with over 30 years of experience practicing in the areas of corporate, commercial and finance law. Prior to joining Fox Horan & Camerini LLP, he was a partner in a large regional law firm and a member of the firm’s corporate and securities law practice group.

Mr. Twombly has extensive experience structuring, negotiating and documenting a broad range of multi-national corporate and commercial transactions across a wide spectrum of industries, including manufacturing, technology, financial services, human resource and business process outsourcing, product distribution and professional services. He has represented as lead counsel public and private corporations, investment and private equity funds and a variety of other business interests in connection with domestic and cross-border mergers and acquisitions, asset purchase and sale transactions, the formation of joint ventures and other strategic alliances and equity and debt securities offerings, collectively aggregating several billion dollars in value. He also regularly represents both lenders and borrowers in commercial finance arrangements, including secured and unsecured working capital facilities, capital project loans, senior and subordinated debt transactions and complex leveraged acquisition financings.
Mr. Twombly is very knowledgeable in the formation of business entities, including corporations, general and limited partnerships, limited liability companies and professional service corporations. He assists both start-up and operating companies in formulating and implementing capital structures and agreements relating to shareholder rights, management arrangements and the conduct of business operations. He also routinely advises senior business leaders, including officers and directors, on complicated corporate and governance issues.
Mr. Twombly’s practice includes the general representation of professional service companies engaged in the fields of architecture and design. In this area of practice, he assists clients with corporate, commercial and project contract matters.
Mr. Twombly has served on the Board of Directors of Eastern Vision Service Plan, Inc. and as a Trustee of The Gunnery School (Washington, Connecticut) and The Stamford Symphony (Connecticut).
Mr. Twombly received his law degree from Seton Hall University School of Law (1982), where he was Articles Editor of the Law Review (1982), and graduated with honors from Middlebury College (1978).
He is admitted to practice law in the States of New York and New Jersey and the District of Columbia.
Mr. Twombly speaks French fluently and his practice includes advising French nationals and businesses on matters of U.S. law.
Mr. Twombly has lectured on the subject of mergers and acquisitions at Seton Hall Law School and frequently participated in client presentations on corporate and commercial topics.
