David C. Camerini, a partner and member of the Latin American practice of the firm worked for several years with a large Buenos Aires law firm with a focus on domestic and cross-border mergers and acquisitions and financing transactions in the telecommunications and publishing industries.
Currently, representing U.S. and foreign clients in their business ventures throughout Latin America and Europe, Mr. Camerini also regularly advises Latin American and European clients on transactions in the United States and other countries in varied businesses such as the finance and pharmaceutical industries. The transactions include participation in joint ventures, acquisitions by and of Latin American and European companies, lending and other financing transactions, multi-jurisdictional structuring of assets, distribution arrangements, and transactions involving the transfer of intellectual property. He often acts as “external general counsel” to corporate groups on a range of matters—e.g., entity selection and formation, shareholder and limited liability company operating agreements, employment matters and internal governance, commercial arrangements with third parties (license, manufacturing, distribution, and non-disclosure agreements). Mr. Camerini advises start-up technology, innovation and other companies on early stage and Series A and later financing rounds, structuring their international corporate structure to receive such investment and their corporate, commercial and internal matters. He also advises family office and other private investment clients with limited partnership agreements, limited liability company operating agreements and other investment agreements in connection with investments, with a concentration on economic, governance and other minority shareholder rights and protections. He also advises U.S. and foreign individuals and transnational families and other private banking clients with regard to international tax and estate planning matters.
Mr. Camerini serves on the Membership and Marketing Committee of the Brazilian-American Chamber of Commerce. Since 2003, he has been a member of the North American Chilean Chamber of Commerce and the Argentine-American Chamber of Commerce. He also is a member of the Argentine Lawyers Association of New York. He has served on the Committee on Foreign & Comparative Law of the New York City Bar Association.
Mr. Camerini graduated from Adelphi University and Quinnipiac College School of Law. He received a Certificate in Mergers and Acquisitions from the School of Law of the Universidad Austral in Buenos Aires, Argentina.
