Norman J. Resnicow brings many years of cross-border transactional experience to the Firm. He counsels inbound (non-U.S.) clients, primarily from Europe and Asia, on establishing and expanding their U.S. operations. As for U.S. clients, in addition to handling their local and national matters, he assists them in their outbound cross-border transactions, drawing upon the Firm’s network of relationships with legal advisors throughout the world.
Mr. Resnicow’s capabilities are applied in a broad range of corporate and commercial transactions, including: mergers and acquisitions; joint ventures and partnerships; distribution, marketing and licensing arrangements; executive employment and terminations; real estate investments and resolution of business disputes.
Among major transactions in which he played a significant role were the acquisition of the Pebble Beach, California complex of golf courses and leisure properties by Japanese interests, and the purchase by a major European brewer of its U.S. distributor. More recently, Mr. Resnicow assembled the team (including investment bankers) for a successful effort to sell a long-established U.S.-Belgian forest products converter at a premium price, after two efforts by other legal/business teams had failed.
A graduate of Yale College (summa cum laude, Phi Beta Kappa) and Yale Law School, Mr. Resnicow was a longtime partner at the world’s largest international law firm. He has served on the Committees on International Law, and International Employment Law, of the New York State Bar Association, and is a member of its International Law Section. Additional bar association activities have included the Committee on International Trade, and the Nuclear Law and Technology Committee, of the Association of the Bar of the City of New York. Currently, Mr. Resnicow is a member of the Sections of Business Law, and International Law and Practice, of the American Bar Association. He has been a Term Member of the Council on Foreign Relations.
Mr. Resnicow co-authored the “Legal Due Diligence” chapter in Due Diligence for Global Deal Making (Bloomberg Press, 2002), and “Legal Due Diligence on Liens Affecting Non-U.S. M&A Targets” (International Business Lawyer, London, October 2003). He has lectured on international legal topics at Bloomberg, the New York University Stern School of Management, the Cornell University Johnson Graduate School of Management, the Structured Finance Institute, the American Management Association, and the World Trade Institute. He has also spoken before bar association groups and visiting foreign legal and business delegations, and he regularly appears as a moot court judge at St. John’s Law School. Active in international refugee rescue and resettlement, Mr. Resnicow is a Director and officer of HIAS, the oldest U.S.-based international refugee assistance organization.
